Client Terms & Conditions

General Terms

1. Our Services

We provide project development, guidance, and support for hardware and software projects as per the mutually agreed plan. Any additional work outside the agreed scope may incur extra charges.

2. Client Responsibilities

• Provide all necessary project details, data, and materials.
• Communicate any additional requirements or changes at least 7 days in advance.
• Respond promptly to queries and approvals to avoid delays.
• Ensure all materials or content provided are legal and do not infringe on any copyrights.

3. Client Acknowledgement & Agreement

• By availing our services (projects, training, or guidance), the Client confirms that they have read, understood, and agreed to all Terms & Conditions.
• No claims of unawareness or misunderstanding will be entertained once the service has started.

Payments & Charges

4. ⚡ Payments ⚡

Hardware Projects:

• 50% advance payment before project commencement.
• 50% due upon project delivery.

Software Projects:

• 30% advance payment before project commencement.
• 30% after first milestone or partial delivery.
• 40% upon final project delivery.

Important:

• All payments are non-refundable and non-adjustable under any circumstances.
• Late payments may delay project progress or attract additional charges.

5. Non-Refundable Payments

• All payments made are non-refundable, regardless of project status or Client satisfaction.
• Payments cannot be adjusted or carried forward to future projects or services.

6. Urgent Project Charges

• Projects requested with a completion timeline of 1 to 10 days will be considered urgent.
• Urgent projects will be charged double due to increased workload and priority scheduling.
• The Company reserves the right to decline urgent projects based on availability.

Project Workflow

7. Project Delivery

• Estimated delivery timelines will be shared in the project plan.
• Delays due to late submissions or incomplete inputs from the Client will affect timelines.
• Timelines may also be impacted by unforeseen events such as technical issues or natural calamities.

8. Revisions

• Minor fixes and reasonable adjustments are included.
• Major changes outside the original scope will incur additional charges.
• Revision requests must be made within the agreed review period.

9. Project Scope Freeze

• Once the project scope is finalized and the first phase has begun, no major changes will be allowed without scope renegotiation.
• Any major change request will lead to a scope revision document and additional cost estimate.

10. Client-Initiated Pauses

• If the Client pauses the project for more than 14 days, a restarting fee may apply.
• In case of inactivity exceeding 30 days, the project will be considered abandoned, and no refunds will be issued.

11. Post-Delivery Responsibility & Collection

• We are not responsible for any issues (errors, data loss, hardware/software damage) after project delivery.
• The Client must collect the project immediately upon completion.
• Delayed collection may incur additional charges.

Communication & Support

12. Communication & Office Hours

• Response time is 24–48 working hours. Instant replies are not guaranteed.
• Working hours exclude Sundays and public holidays.
• Calls or messages on off-days will incur a penalty of ₹1000, added to the project cost.

13. Support & Maintenance (Post-Delivery)

• Free support is not provided after final delivery unless mentioned in the project scope.
• Ongoing support, maintenance, or bug fixes will be charged separately.

Hardware & Technical Terms

14. Hardware Damage & Replacement

• If any hardware part gets damaged, burnt, or non-functional during project work, the Client shall bear the replacement cost.
• The Company is not responsible for damages due to misuse, short circuits, or power fluctuations.

15. Component Availability & Pricing

• Hardware prices are subject to market fluctuations.
• Delays due to suppliers, shipping, or customs are beyond our control.

Ownership & Legal Terms

16. Ownership & Intellectual Property

• Ownership of final deliverables transfers to the Client after full payment is made.
• We may showcase the project in our portfolio unless confidentiality is requested in writing.

17. Code & File Handover

• Source code, design files, or documentation will be shared only after full payment.
• We reserve the right to obfuscate or withhold source unless agreed in scope.

18. Confidentiality

• All confidential information will be kept strictly confidential.
• No client data will be shared with third parties without consent, except where required by law.

19. Compliance with Laws

• The Client is responsible for ensuring legal compliance of their project.
• We are not liable for misuse or unlawful applications of the delivered work.

20. Academic Use Disclaimer

• Projects are provided for educational purposes only.
• No guarantee of grades, marks, or academic approval is provided.

Dispute & Liability

21. Warranty & Liability

• No warranty is provided for hardware or software deliverables.
• We are not liable for losses or damages from misuse or client-supplied materials.

22. Limitation of Liability

• Our liability is limited to the total amount paid by the Client.
• We are not responsible for indirect damages such as lost revenue or reputational harm.

23. Indemnity

• The Client agrees to indemnify and hold us harmless against any claims arising from misuse of the project or violation of laws.

24. Dispute Resolution

• Disputes will first be attempted to be resolved through negotiation.
• If unresolved, mediation or arbitration will apply before courts.

25. Governing Law

• These terms are governed by the laws of Nagpur, India.
• Jurisdiction lies with Nagpur courts.

Other Conditions

26. Non-Solicitation

• The Client agrees not to directly hire or solicit our team for personal work during the project and 12 months after completion.

27. Force Majeure

• We are not liable for delays due to events beyond our control (natural disasters, strikes, internet issues, pandemics).

28. Third-Party Dependencies

• We are not responsible for downtime, discontinuation, or changes in third-party APIs, hosting, or services.

29. No Free Demos & Discontinuation Charges

• No free demos will be provided for classes or projects.
• If the Client discontinues after initiation, extra charges will apply.

30. Acceptance

• If the Client is getting any project done, planning to get a project done, or availing classes/training from us, it will be considered that the Client has read, understood, and agreed to all our Terms & Conditions.
• By proceeding with our services in any form (projects, training, or guidance), the Client confirms that there are no doubts or objections regarding these Terms & Conditions.
• No claims of unawareness or misunderstanding of these Terms will be entertained once the service has started.
